TV NOVA IS MERGING WITH O2 TV, WHICH WILL CEASE TO EXIST AFTER THE MERGER

The Council for Radio and Television Broadcasting  (RRTV) has approved the merger of TV Nova and O2 TV. As a result of the merger, O2 TV will cease to exist and its activities and liabilities will be taken over by TV Nova, which will also make changes to its ownership and capital structure.

The RRTV has granted approval for the merger of TV Nova and O2 TV. Following the regulator’s decision, O2 TV will cease to exist and TV Nova will become its legal successor.

The merger was approved under the Act on Radio and Television Broadcasting following an application submitted in March this year and its subsequent amendment in April. The transaction involves the legal merger of both companies, with all rights and obligations transferring to TV Nova.

Nova acquired the O2 TV channels last autumn, so the merger marks the completion of this acquisition. Since December, Nova has held a 100% stake in O2 TV, which operates the pay-TV sports channels Oneplay Sport (formerly O2 TV Sport) and Premier Sport. O2 TV previously belonged to the operator O2 Czech Republic, which – like Nova – is owned by the PPF investment group.

The merger of O2 TV and Nova has created the largest broadcaster of sports content in the Czech Republic, offering 16 channels dedicated to sports broadcasts and programmes – six Nova Sport channels, eight Oneplay Sport channels and two Premier Sport channels.

At the same time, the Council also approved related changes to TV Nova’s licence conditions. These include, in particular, an increase in share capital, amendments to the articles of association and changes to the list of shareholders.
